FREELANCE SERVICES AGREEMENT

This Freelance Services Agreement (the "Agreement") is made on ________ between ________ (the "Freelancer") and ________ (the "Client"). The Freelancer and the Client agree as follows:

5. Intellectual Property

On receipt of full payment, the Freelancer assigns to the Client the ownership rights in the final deliverables created specifically for the Client. The Freelancer keeps ownership of any pre-existing materials, tools, and know-how, and may show the work in their portfolio unless agreed otherwise in writing.

6. Confidentiality

Each party will keep the other party's non-public information confidential and use it only to carry out this Agreement.

7. Independent Contractor

The Freelancer is an independent contractor, not an employee, partner, or agent of the Client, and is responsible for their own taxes, insurance, and equipment.

8. Termination

Either party may end this Agreement by giving ________ written notice. The Client will pay for all Services properly performed up to the termination date.

9. Limitation of Liability

To the fullest extent allowed by law, neither party is liable for indirect or consequential losses, and the Freelancer's total liability under this Agreement will not exceed the total fees paid by the Client.

10. Governing Law

This Agreement is governed by the laws of ________, without regard to its conflict-of-law rules.

11. Entire Agreement

This Agreement is the complete agreement between the parties and replaces any earlier discussions. Any change must be in writing and signed by both parties.
